Agreement between Del Monte Fresh Produce & Fyffes

Del Monte Fresh Produce (Hamburg), a wholly owned subsidiary of Fresh Del Monte Produce Inc., has signed an agreement to sell its interest in Internationale Fruchtimport Gesellschaft Weichert & Co ("INTER") to Fyffes Plc., a leading European fresh produce company. The sale serves several key strategic purposes for Fresh Del Monte Produce. This transaction enables Fresh Del Monte to control the sales and direct marketing of its products in northern European markets. Fyffes will then acquire 80% of "INTER" for USD30 million in cash to be paid on completion. INTER is an importer and distributor of bananas, pineapples and other fresh fruit and produce primarily into Northern and Central Europe, serving both the retail and wholesale sectors.
